Terms of Service

Last updated: 2026-05-04. These Terms of Service (Allgemeine Geschäftsbedingungen, "AGB") govern the use of the DirForge service, operated by Upscale GmbH.

1. Provider and scope

This service ("DirForge") is operated by Upscale GmbH, Hedwiggasse 2, 1020 Vienna, Austria, FN 675767 a (the "Provider"). These terms apply to every contractual relationship between the Provider and any natural or legal person ("Customer") who orders one of the packages offered on dirforge.com.

By placing an order, the Customer accepts these terms. Conflicting or deviating terms of the Customer are not part of the contract unless explicitly accepted in writing by the Provider.

2. Service description

DirForge is a directory submission service for SaaS, AI tools, dev-tools, and similar digital products. Depending on the tier purchased (Starter, Standard, Premium), the Provider performs a limited number of listings on third-party online directories from the Provider's curated directory list ("Curated List").

The Curated List is maintained at the sole discretion of the Provider. The Provider decides which directories qualify for the list based on Domain Rating, observed traffic, indexing status, and operational reliability. The Provider may add or remove directories from the Curated List at any time.

3. What we promise, and what we do not

We promise: the Provider will, in good faith and using commercially reasonable effort, attempt to submit the Customer's product to the number of directories agreed in the purchased tier within the stated turnaround time. We promise the work itself, performed manually or hybrid-automated, including SEO copy written around the keywords the Customer supplies during onboarding (Standard tier and above).

We do not promise:

  • That every directory will accept or approve the listing. Directory operators have their own moderation, criteria, and queues. Rejections, delistings, and silent drops happen.
  • A specific Domain Rating uplift, ranking improvement, traffic volume, or backlink count. SEO outcomes depend on the Customer's existing site, content, competing signals, and how Google and Ahrefs interpret signals over time.
  • That UTM-tagged URLs will be preserved by every directory. Some directories canonicalize URLs, strip query parameters, or use redirect cloaking. Where UTMs are stripped, the Provider falls back to Referer-based attribution in the report. Attribution is best-effort, not 100%.
  • That dofollow links will be granted by every directory. The link type (dofollow / nofollow) is determined by each directory's own policy. The Provider publishes the link type per directory in the Curated List.
  • Indexing by search engines within any specific timeframe. Google decides when and whether to index third-party content.
  • Continuous availability of any specific directory. Directories listed today may shut down, deindex, or change policy tomorrow.

4. Lifetime auto-add (Premium tier)

The Premium tier includes an auto-add feature: when the Provider adds a new directory to the Curated List, Premium Customers are automatically submitted to that new directory at no additional cost. The Customer may opt-in (automatic submission to every new addition) or opt-out (Customer selects from a monthly digest).

Important limitations of the auto-add feature:

  • The auto-add feature is valid only as long as the DirForge service is operational and the Provider continues to maintain a Curated List. The feature ends without refund or compensation if the Provider ceases to operate the service for any reason (insolvency, voluntary shutdown, force majeure, regulatory order, sale to a third party that does not continue the feature).
  • The Provider may change, restrict, or discontinue the auto-add feature with 60 days advance notice if economic, legal, or operational circumstances require it.
  • "Lifetime" refers to the lifetime of the DirForge service, not the lifetime of the Customer or the Customer's product.
  • The Provider does not guarantee any minimum frequency of new additions. The Curated List may grow slowly if no new directories meet our quality criteria.

5. Pricing and payment

Prices are stated on the pricing page in USD and are one-time payments unless otherwise specified. The first 100 Customers may receive founding-pricing discounts that lock in for re-purchases. The Provider may change list prices at any time with effect for new orders only. Existing orders are not affected.

VAT, where applicable, is added at checkout based on the Customer's location and EU/non-EU status.

6. Customer obligations

The Customer warrants that:

  • The product information, screenshots, descriptions, and keywords provided are accurate, do not infringe third-party rights, and do not contain illegal, defamatory, or misleading content.
  • The Customer has the right to authorize the Provider to publish this information on third-party directories on the Customer's behalf.
  • The Customer's product complies with the terms of service of each directory the Provider submits to. Rejections caused by terms-of-service violations are the Customer's responsibility.
  • The contact information (email, domain ownership) provided is accurate and the Customer can verify ownership when a directory requires it.

7. Turnaround, delivery, completion

Stated turnaround times (12h, 24h, 48h depending on tier) refer to the time the Provider takes to submit the listings, not the time the directories take to approve or publish them. Approval timing is outside the Provider's control.

The service is considered delivered when the Provider has submitted the agreed number of listings and delivered the report (CSV plus screenshots where applicable), regardless of the approval status returned by individual directories.

8. Refund policy

If the Provider fails to submit the Customer's product to the number of directories promised in the purchased tier (counting attempted submissions, regardless of approval status), the Customer is entitled to a full refund within 30 days of purchase.

Refunds are not granted for: directory rejections, slow indexing, lower-than-expected DR uplift, traffic that did not materialize, dofollow expectations not met by individual directories, or any other outcome-based dissatisfaction. The service sold is the submission work, not a guaranteed SEO result.

EU consumers retain the statutory right of withdrawal within 14 days of purchase under the Austrian FAGG, with the exception that this right expires once the Provider has begun the manual submission work with the Customer's express consent (which the Customer grants by submitting the onboarding form).

9. Limitation of liability

To the extent permitted by Austrian law, the Provider's total liability for any claims arising from or related to the service is limited to the amount the Customer paid for the specific tier in question. The Provider is not liable for indirect, consequential, incidental, or special damages, including lost profits, lost revenue, lost rankings, lost goodwill, or lost data.

Liability for damages caused by gross negligence or intent of the Provider, and statutory liability under the Product Liability Act (Produkthaftungsgesetz) and for personal injury, remains unaffected.

10. Third-party services and subprocessors

The Provider works with Werbungonline, an Austrian digital agency, for SEO copywriting. Hosting, payment processing, analytics, and email delivery are handled by EU-based or standard-contractual-clause-covered providers. A current list is available in the Privacy Policy.

Third-party directories the Provider submits to are independent operators with their own terms and policies. The Provider is not responsible for their conduct, decisions, uptime, or data handling.

11. Service modifications and discontinuation

The Provider may modify, restrict, or discontinue the service or any feature with reasonable advance notice. In case of full service shutdown, the Provider will use commercially reasonable effort to deliver any open submission work or refund the corresponding portion of the price.

Specific feature promises (such as the lifetime auto-add described in section 4) are tied to the continued operation of the service and lapse upon discontinuation, as described in those sections.

12. Force majeure

The Provider is not liable for non-performance or delay caused by events outside its reasonable control, including but not limited to: directory shutdowns, search engine policy changes, infrastructure outages, sanctions, war, pandemics, regulatory action, and fundamental changes to underlying APIs or platforms.

13. Modifications of terms

The Provider may amend these terms with 30 days notice (by email to Customers with an active service or by visible notice on dirforge.com for new orders). Continued use of the service after the notice period constitutes acceptance of the updated terms.

14. Governing law and venue

These terms are governed by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods. The competent court for the registered seat of the Provider (Vienna, Austria) has exclusive jurisdiction for disputes with business customers. Mandatory consumer protection provisions in the Customer's country of residence remain unaffected for consumers.

15. Severability

If any provision of these terms is or becomes invalid, the remaining provisions remain in effect. The invalid provision shall be replaced by a valid provision that comes closest to the economic intent of the invalid one.
